PROGRAM AGREEMENT:

This Group Program Agreement is made between Anarchy & Alchemy, LLC. (hereinafter "Bestie") and you (hereinafter "Participant"). Collectively, Bestie and Participant will be referred to as the "Parties." The Parties agree to the following terms and conditions

CONDITIONS:
This Agreement is effective upon (1) registration of the Participant, (2) payment of the Registration Fee, and (3) confirmation of registration by Bestie. Upon completion of these conditions, this Agreement shall take effect.


SCOPE OF THE PROGRAM:
INVICTA is an online spiritual coaching program where Bestie provides services and deliverables to a group of three to ten individuals.

Individuals who participate in INVICTA are referred to in this Agreement as "participants." Participants are visible to each other and will have the opportunity to interact with each other.

Bestie agrees to provide the deliverables and services as promised on the Program checkout page, which may include:

+ Access to Program curriculum content, resources, worksheets or other supportive digital assets
+ Group coaching time or 1:1 consultation time
+ Private discussion groups, live training sessions

Participant understands that this Program does not include ongoing support or additional services outside of those specifically outlined within the sales page or checkout page. Should Participant wish to obtain additional services, Participant may reach out to Bestie to request those additional services.

Nothing in this program constitutes medical, psychological, or psychiatric advice, diagnosis, or treatment or a substitute for any of these conditions, outcomes, or care.

SPIRITUAL CONSULTATION:
You must be 18 years or older to receive a reading.

Readings are a way to guide self-reflection. They are a form of spiritual practice and entertainment. Readings are neither advice nor a substitution for advice from a medical, legal, or financial professional.

FEES:
The fees for our Services and Programs shall be as set out in our website and offers from time to time. The fees charged by the Bestie shall be subject to all applicable taxes as required by the taxing authorities in the jurisdiction of Bestie.

METHOD OF PAYMENT:
We use a third party to process and receive any payments you make on our website. All information obtained during your purchase — such as name, address, payment method, credit or debit card number, and billing information — may be collected by both us and our payment processing platform.

The Participant agrees to only purchase the Program for yourself or for another person who has given you the express consent to provide their information as stated above.

By purchasing our offerings or Program, you agree to the following terms:

• Any payment information you provide is true and complete;
• Fees incurred by you will be honoured by your bank, credit card company, or e-commerce company (e.g., PayPal);
• You will pay the incurred charges at the agreed upon prices, including all applicable taxes;
• You give us permission to automatically charge your debit card, credit card, or e-commerce account; and
• If your initial payment method is dishonoured, you will still pay the incurred charges, including any surcharges or applicable fees.

If the Participant elects to pay via invoice, Bestie reserves the right to cease your access to our offerings immediately and permanently if payment is not received within 7 days. You will still be held liable for the full cost of the offering.

PAYMENT SCHEDULE:
If the Participant elects to pay the fee for the Program in monthly installments as described on the sales page, each installment will be charged automatically on the same day of the subsequent month(s) until payment of the fee has been made in full.

We reserve the right to cease your access to our Program immediately and permanently if a Fee payment is not received within 7 days of the due date. You will still be held liable for the full cost of the Program.

LATE PAYMENTS:
If any payment is not received on the payment due date, Bestie may discontinue Participant access to Programs until any outstanding payment is received in full.

REFUNDS & PROGRAM CANCELLATION:
If the Program is cancelled for any reason, Participant will receive a full refund, not including third party payment processing fees.

CANCELLATION & NO SHOW POLICY:
Participant understands that space is reserved for Participant's attendance upon registration and Bestie forgoes other income opportunities in reliance on Participant's registration.

Participant may cancel their registration up to sixty (60) days before the Program's first event and receive a full refund, not including third payment processing fees.

Participant may cancel their registration up to thirty (30) days before the Program's first event and receive a 50% refund, not including third payment processing fees.

Participant understands and agrees that no refunds will be provided for any registrations cancelled within twenty-nine (29) days of the Program's first event.

The Registration Fee is not transferable to subsequent programs, events, or offers.

PARTICIPANT CONDUCT:
Participant agrees to comply with the policies, terms, and community guidelines of any video conferencing platform, communication platform, online community, or other technology used in connection with the Program, all of which are incorporated herein by reference.

Bestie is committed to maintaining a safe, respectful, and supportive environment for all participants. Participant agrees to conduct themselves in a respectful, professional, and cooperative manner toward Bestie, Bestie's staff, contractors, guest experts, and fellow participants during Program activities, including live sessions, online communities, group discussions, direct communications, and any related public or private forums.

Prohibited conduct includes, but is not limited to: harassment; discrimination; intimidation; bullying; threats; repeated disruptive behavior; excessive profanity or graphic language; unwanted sexual comments, advances, or insinuations; personal attacks; name-calling; disclosure of another participant's confidential information; repeated communications that exceed reasonable boundaries after requests to cease; disruption of Program activities; refusal to follow reasonable Program guidelines; or conduct that interferes with the experience, safety, or participation of others.

Participant further agrees to communicate respectfully and in good faith with Bestie and to provide any information reasonably necessary for Bestie to deliver the Program.

Participant acknowledges that chronic non-responsiveness, repeated failure to follow Program processes, or conduct that materially disrupts Program delivery may impair Bestie's ability to provide the Program as intended.
Bestie reserves the right, in its sole discretion, to remove, suspend, restrict access to, or terminate a Participant's involvement in the Program if Bestie reasonably determines that the Participant has violated this provision or engaged in conduct that is disruptive, abusive, unsafe, or inconsistent with the Program's purpose and community standards. In such event, Participant shall not be entitled to any refund, and any outstanding payment obligations under this Agreement shall remain due and payable.

MEDICAL NEEDS
Participant agrees to notify Bestie of accessibility requirements at time of registration.

Participant understands and acknowledges that the Program includes content and practices that may be emotionally intense, including somatic (body-based) exercises, personal narrative and identity work, group sharing, and discussion of burnout, grief, anger, and other difficult experiences. This material may surface strong emotions or unexpected reactions. Participant knowingly and voluntarily chooses to engage with this content.

Participant is solely responsible for their own physical, mental, and emotional wellbeing throughout the program, including during and after live calls and exercises. Participant agrees to self-monitor, to opt out of or modify any exercise at any time without explanation, and to seek appropriate professional support if needed. Participation in every exercise is always optional.

Program is not a substitute for professional care. Participants currently working with a therapist, physician, or psychiatrist agree to continue that care and to consult their providers about participation. Participants should not discontinue any treatment or medication based on anything in this program.

Participant affirms they are not currently experiencing a mental health crisis and that they are able to participate in a group coaching environment. Participants experiencing acute crisis, active suicidal ideation, or unmanaged severe mental health conditions should seek licensed clinical care; this program is not designed for crisis support.

Bestie does not provide crisis intervention and is not available for emergencies. If Participant experiences a mental health emergency, they agree to contact emergency services or a crisis line.

PRIVACY:
Participant agrees to respect the privacy of persons in attendance at the Program. Participant agrees to refrain from posting or publishing any media which identifies a person at the Program without that person's consent. Bestie has the right to remove participants in violation of this provision, without refund.

INTELLECTUAL PROPERTY:
The Program includes programs and materials owned or licensed by Bestie. No programs or materials may be redistributed, copied, or used to create a derivative work without Bestie's written consent.

RELATIONSHIP TO PARTIES:
Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship. Bestie agrees only to provide Participant with access to the Program, which provides education and information. The information contained in the Program, including any interactions with the instructors, is not intended as, and shall not be understood or construed as, professional advice.

WARRANTIES AND REPRESENTATIONS:
The Parties warrant and represent that they are free to enter into this Agreement and have the authority to do so.

No other warranties are made, whether express or implied. All information provided during the Program is for educational and entertainment purposes only and is provided on an "as is" and "as available" basis. Bestie disclaims all warranties of any kind as to the use of information provided during the Program, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and noninfringement.

Bestie specifically disclaims any warranty that the Program (1) will meet Participant's needs or goals, (2) will be free of errors, reliable, or timely, or (3) that errors will be corrected. Participant understands the importance of consulting third party legal and financial professionals and promises not to act or refrain from acting based solely on information gathered during the Program.

LIMIT OF LIABILITY:
LIABILITY SHALL BE LIMITED TO THE REGISTRATION FEE. EXCEPT AS PROHIBITED BY LAW, Bestie SHALL NOT BE LIABLE TO Participant OR TO ANY OTHER PERSON OR ENTITY FOR ANY GENERAL, PUNITIVE, SPECIAL, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES, OR LOST PROFITS, OR ANY OTHER DAMAGES, COSTS OR LOSSES ARISING OUT OF THE Bestie’S SERVICES, MATERIALS, OR PRODUCTS, INCLUDING ATTORNEY’S FEES AND RELATED EXPENSES OF LITIGATION AND ARBITRATION. EXCEPT AS PROHIBITED BY LAW, TO THE EXTENT THERE IS LIABILITY FOUND AS TO THE Bestie, SUCH RECOVERY IS LIMITED TO THE AMOUNT THE Participant PAID FOR MATERIALS, PRODUCTS, OR SERVICES.

INDEMNIFICATION AND RELEASE:
To the extent permitted by law, each party hereby agrees to protect, indemnify, defend, and hold harmless the other and their respective managers, officers, members, partners, affiliates, owners, shareholders, beneficiaries, and their respective employees, agents, and contractors (collectively, "Representatives") against all claim/losses, liabilities, damages, expenses, and costs arising out of or connected with the negligence or intentional misconduct of such party or its Representatives. Further, Participant on behalf of itself and its owners, affiliates, partners, subsidiaries, employees, agents, contractors, and consultants (collectively "Releasor"), waives any rights to recover from, and hereby forever agrees to release and hold harmless, Bestie and their respective owners, parent companies, affiliates, partners and subsidiaries, directors, officers, members, participants, employees, consultants, agents, legal representatives and assigns from any and all claims, costs, personal injuries, deaths, expenses, damages, actions and liabilities, of any nature, whether direct or indirect, known or unknown, foreseen or unforeseen (collectively "Claims").

FORCE MAJEURE:
Neither party shall be held liable or responsible to the other party nor be deemed to have defaulted under or breached this Agreement for failure or delay in fulfilling or performing any obligation under this Agreement when such failure or delay is caused by or results from causes beyond the reasonable control of the affected party, including but not limited to fire, floods, embargoes, war, acts of war, insurrections, riots, strikes, lockouts or other labor disturbances, or acts of God; provided, however, that the party so affected shall use reasonable commercial efforts to avoid or remove such causes of nonperformance, and shall continue performance hereunder with reasonable dispatch whenever such causes are removed. Either party shall provide the other party with prompt written notice of any delay or failure to perform that occurs by reason of force majeure.

WAIVER:
No waiver of any default by any party or parties to this Agreement shall be implied from any omission by a party or parties to any action on account of such default. If such default persists or is repeated, no express waiver shall affect any default other than the default specified in the express waiver, and that only for the time and to the extent therein stated.

ARTICLE OF HEADINGS:
All article, paragraph, and section headings set forth in the Agreement are intended for convenience only and shall not control or affect the meaning, construction, or effect of this Agreement or any of the provisions thereof.

SEVERABILITY:
If any provision of this Agreement shall be declared invalid or unenforceable, such provision shall be deemed eliminated from this Agreement, and all remaining provisions shall continue in full force and effect.

MODIFICATION BY SUBSEQUENT AGREEMENT:
This Agreement may be modified by subsequent agreement of the parties only by an instrument in writing signed by both of them.

MEDIATION:
Bestie and Participant agree to try to settle all disputes between them through private mediation before initiating any arbitration, litigation, or other dispute resolution procedure. The mediation session will occur at a time mutually agreed upon by the parties in consultation with a mutually selected mediator, though no later than thirty days after the date of services of the initial notice, unless otherwise agreed by the parties and mediator. Each party shall bear its own fees and costs for the mediation. The parties agree to mediate in Kent County, Michigan.

GOVERNING LAW:
This Agreement shall be governed by and interpreted under the laws of the state of Michigan.

VENUE:
The Parties agree that any dispute that may arise as related to this Agreement shall be brought in a court within Kent County, Michigan.

SOLE AND ONLY AGREEMENT:
This Agreement contains the entire understanding between the parties with respect to the subject matter and supersedes any and all other prior written contracts and understandings (whether oral or written) between the parties. No amendment or modification of this Agreement shall be effective unless executed in writing by both parties.

ASSIGNMENT; SUCCESSORS AND ASSIGNS:
Participant agrees that Participant will not assign, sell, transfer, delegate, or otherwise dispose of, whether voluntarily or involuntarily, or by operation of law, any rights or obligations under this Agreement. Any such purported assignment, transfer, or delegation shall be null and void. Participant represents that Participant has not previously assigned or transferred any claims or rights released by him pursuant to this Agreement. Subject to the foregoing, this Agreement shall be binding upon and shall inure to the benefit of the Parties and their respective heirs, successors, attorneys, and permitted assigns. This Agreement shall not benefit any other person or entity except as specifically enumerated in this Agreement.
